Legal - Affiliate programme
Affiliate Programme Terms
Effective from Last reviewed Version 1.0
These Affiliate Programme Terms (the "Programme Terms") govern the PartnerMe AI referral and affiliate programme, called "Refer & earn" in the product (the "Programme"). They form a legally binding contract between you (the "Affiliate", "you") and PARTNERME AI LTD ("PartnerMe AI", "we", "us", "our") from the moment you join the Programme.
They apply in addition to our Terms of Service. The Terms of Service continue to govern your account and your use of the Service; these Programme Terms govern the Programme. If the two conflict on a Programme matter, these Programme Terms prevail.
1. Introduction and acceptance
Every PartnerMe AI user can become an Affiliate. An Affiliate receives a unique referral code and link. When a new user signs up with that code and later pays for an annual Plus or Team plan, the new user receives a discount on that first annual invoice and the Affiliate earns a commission on it. The rates in force are shown in the Programme Dashboard.
You accept these Programme Terms by ticking the "I accept the Affiliate Programme Terms" box on the Refer & earn tab of your profile and activating the Programme. We record the version you accepted and the time of acceptance. By accepting you confirm that:
- you have read and understood these Programme Terms and agree to be bound by them;
- you are 18 or over and hold a PartnerMe AI account in good standing under the Terms of Service;
- you have read our Privacy Policy, section 17 of which explains how the Programme processes personal data; and
- where you join on behalf of a business, you have authority to bind that business.
If you are a referred user rather than an Affiliate, you do not need to accept these Programme Terms. The conditions of the referral discount in section 5 apply to you through clause 23 of the Terms of Service, and the discount is shown to you before you pay.
2. Definitions
Capitalised terms have the meanings below. Terms defined in the Terms of Service have the same meaning here.
- Affiliate - a user who has accepted these Programme Terms and completed, or is completing, payout setup under section 3.
- Attribution - the record that links a Referred User to a Code: which Code was used, when it was captured, and how (the referral link, the code field at registration, or the code field at checkout).
- Attribution Window - the period after Attribution during which a purchase by the Referred User can carry the Referred User Discount and earn a Commission. It is 365 days unless the Programme Dashboard shows a different period.
- Base Plan Amount - the amount a Referred User actually paid for the base-plan line of a Qualifying Purchase, after the Referred User Discount and excluding any VAT or other tax. Per-seat charges, AI credit top-ups and any other line are not part of it.
- Code - the unique referral code issued to you under section 4, and the referral link that carries it.
- Commission - the amount you earn on a Qualifying Purchase under section 6, together with any bonus or adjustment we credit to your balance.
- Hold Period - the period after a Qualifying Purchase is paid during which the Commission is held under section 7. It is 30 days unless the Programme Dashboard shows a different period.
- Minimum Payout- the smallest available balance that can be paid out. It is £25 unless the Programme Dashboard shows a different amount.
- Payout - a transfer of your available Commission balance to your Stripe payout destination under section 8.
- Programme Dashboard- the Refer & earn tab of your profile, which shows the current rates, Attribution Window, Hold Period, Minimum Payout, fee schedule and supported countries, together with your balances, ledger, Payouts and statements.
- Qualifying Purchase - the first invoice of an annual Plus or Team subscription that a Referred User pays inside the Attribution Window.
- Referred User - a person who creates a new PartnerMe AI account to which your Code is attributed under section 4. An account that has ever held a paid subscription cannot become a Referred User.
- Referred User Discount - the percentage discount described in section 5.
- Stripe - Stripe Payments Europe, Limited and Stripe Payments UK, Ltd, our payout processor (section 8).
- Terms of Service - the PartnerMe AI Terms of Service at /terms.
3. Eligibility and payout setup
To join the Programme you must:
- be 18 or over and hold a PartnerMe AI account in good standing;
- hold a bank account in a country the Programme supports (see below);
- accept these Programme Terms on the Refer & earn tab; and
- complete Stripe's payout setup.
Payout setup. Payouts are made through Stripe. During setup Stripe collects the identity, business and bank details that its own legal obligations require, on forms hosted by Stripe. We never see or store your bank details; we hold only your Stripe account identifier and the setup status Stripe reports to us. Stripe may ask you for further information at any time, and Payouts pause until you provide it. By completing setup you also accept the Stripe terms presented to you during it.
Your country.You choose the country of your bank account on the Refer & earn tab before setup starts. Your choice decides which Stripe service carries your Payouts: Stripe Connect for the United Kingdom, the European Economic Area, the United States, Canada and Switzerland; Stripe Global Payouts for the other countries Stripe can pay to from the United Kingdom. The Programme Dashboard lists the supported countries. The country you choose is final for your affiliate account and cannot be changed afterwards.
Unsupported countries.If your country is not supported you can join the waitlist from the Refer & earn tab. We will notify you if the Programme opens in your country. No Code is issued while you are on the waitlist.
Your Code is issued only once Stripe reports your payout setup as complete. Each user may hold one affiliate account. You may not join the Programme through another account you control, and you may not rejoin if we have closed an affiliate account of yours under section 13.
4. Your code and referral link
Once your payout setup is complete you receive one unique Code (for example, PM- followed by six characters) and a referral link that carries it. Both are yours to share. You may share them publicly - on your website, social profiles, newsletters, videos, podcasts, in conversation, or in any other way that complies with section 10.
How a referral is attributed. A person becomes your Referred User when your Code is captured for a new account: by opening your referral link before registering, by entering the Code in the code field at registration, or by entering it at checkout. Attribution is locked to the first Code captured for an account. A different Code entered later does not replace it, and each account can be attributed once only. Attribution expires at the end of the Attribution Window; a purchase after that date earns nothing and receives no discount.
Regenerating your Code. You can generate a new Code from the Programme Dashboard at any time. The previous Code is then retired: every Attribution already recorded against it stays in place and continues to count, but the retired Code no longer accepts new sign-ups. Update any place where you have published the old Code.
You may not sell or transfer your Code, use it for yourself (section 5), or attach it to people by any technical means - such as forced clicks, hidden frames or scripts - rather than by their own choice. Clicks on your referral link are counted only as daily totals per Code; we do not record the IP address or device details of the people who click.
5. Referred user discount
A Referred User receives a percentage discount on the first invoice of an annual Plus or Team subscription. The percentage for each plan is the one shown in the Programme Dashboard, and at checkout, at the time of purchase. The discount is applied by Stripe at checkout and is shown to the Referred User before payment.
The discount is subject to the following conditions:
- Annual plans only. The discount applies to the first invoice of an annual Plus or Team plan. Monthly plans receive no discount. A Referred User who first takes a monthly plan keeps their Attribution, and the discount applies if they move to an annual plan inside the Attribution Window.
- First invoice only. Renewal invoices are charged at the full price then in force. Per-seat Team charges and AI credit top-ups are never discounted.
- New customers only. The discount is available only to a new account. An account that has ever held a paid PartnerMe AI subscription cannot be attributed to a Code and cannot receive the discount.
- No stacking. The discount cannot be combined with any promotion code or other offer. When a referral discount applies, the promotion-code field at checkout is unavailable.
- No self-referral. You may not use your own Code, and you may not create or use another account to obtain the discount or a Commission for yourself or for someone acting on your behalf.
- One referral per account, locked at first capture. See section 4.
- Inside the Attribution Window. The purchase must be made before the Attribution expires.
Nothing in this section affects a Referred User's statutory rights, including the cancellation rights described in clause 9 of the Terms of Service.
6. Commission
You earn a Commission when a Referred User pays a Qualifying Purchase. The Commission is calculated as follows:
- Rate. The earnings percentage for the plan purchased (Plus or Team) shown in the Programme Dashboard at the time of the purchase. The rate is recorded on the ledger entry; a later rate change never alters a Commission already recorded.
- Base. The Base Plan Amount: what the Referred User actually paid for the base plan, net of the Referred User Discount and excluding any VAT or other tax. Commission is never calculated on the invoice total.
- Rounding. The result is rounded half-up to the nearest penny.
- Currency. Commission is recorded in pounds sterling.
Commission is earned on the first annual invoice only. No Commission is earned on renewals, on per-seat Team charges (including seats added later), on AI credit top-ups, or on any other charge. Monthly plans, purchases made after the Attribution Window has expired, and purchases by accounts that do not qualify under section 5 earn nothing.
Each Commission appears in your Programme Dashboard ledger when the Qualifying Purchase is paid: first as pending during the Hold Period, then as available, then as paid. We may at our discretion credit a bonus or make a correcting adjustment to your balance; every such entry carries a note explaining it. Our records of clicks, sign-ups, purchases and Commission are the record of the Programme and are conclusive save for manifest error.
7. Hold period, voids and clawbacks
Every Commission is held for the Hold Period - 30 days from the date the Qualifying Purchase was paid - as a buffer for refunds and card disputes. The Programme Dashboard shows the date each Commission becomes available.
- Void during the Hold Period. If the Qualifying Purchase is refunded, disputed or otherwise reversed before the Hold Period ends, the Commission is void and nothing is payable on it.
- Clawback after payout. If a chargeback or refund arises after a Commission has been paid to you, we record a clawback for the same amount. A clawback is netted against your future earnings: your available balance and subsequent Commission are reduced until it is cleared.
- Recovery on fraudulent or invalid referrals. Where a Commission was paid on a referral that was fraudulent, or that did not qualify under these Programme Terms, we may recover the amount paid - by clawback, by reversal through Stripe, or by asking you to repay it.
- Held for review. We may hold a Commission beyond the Hold Period while we review a referral for the indicators listed in section 13 (for example a self-referral or a matching payment card). The Programme Dashboard shows a Commission held for review, and we release or void it when the review ends.
8. Payouts and fees
Cleared Commission is paid to the Stripe payout destination you set up under section 3. A Payout happens in one of two ways:
- Monthly batch. On the batch day shown in the Programme Dashboard (the first day of each month by default) we automatically pay out every available balance that is at or above the Minimum Payout.
- Withdraw on demand. Whenever your available balance is at or above the Minimum Payout you can press Withdraw in the Programme Dashboard. Only one Payout can be in progress at a time.
The Minimum Payout is £25 unless the Programme Dashboard shows a different amount. Balances below it carry forward until they reach it.
Fees.One fee is deducted from each Payout - never from individual Commissions - according to the schedule below. Whether the domestic or cross-border rate applies depends on whether your bank account is in the United Kingdom. The Programme Dashboard shows the exact fee before you confirm a withdrawal, and every Payout statement shows the fee applied. We absorb Stripe's monthly active-account fee; you never pay it.
| Payout service | Domestic (bank account in the UK) | Cross-border (bank account outside the UK) |
|---|---|---|
| Stripe Connect | 10p + 0.25% of the payout | 10p + 1.25% of the payout |
| Stripe Global Payouts | £0.50 | £0.50 + 0.75% of the payout |
We may update the fee schedule for future Payouts. An updated schedule is published on this page and in the Programme Dashboard before it applies, and it never changes a Payout already made.
Currency and delivery. Payouts are sent in the currency of your payout destination. Where that currency is not pounds sterling, Stripe converts the amount at its exchange rate at the time of the Payout, so the amount you receive may differ from the sterling figure shown in the dashboard. If your bank account is in the United Kingdom, Stripe runs a Confirmation of Payee check: the account holder name must match, and a mismatch may delay the Payout until you correct your details with Stripe. Delivery time after we instruct a Payout depends on Stripe and on your bank. If a Payout fails or is returned, the amount goes back to your available balance and the dashboard tells you what to fix.
On Stripe Connect, cleared Commission is first moved to your Stripe account balance and then paid from there to your bank account. On Stripe Global Payouts it is paid from our account directly to your bank account. In both cases every Payout has a statement in the Programme Dashboard listing the Commission it covers, the fee and the net amount.
9. Taxes
You are responsible for all taxes, duties and contributions that apply to your Commission in any country - including income tax, corporation tax, VAT or its equivalents, and social security contributions - and for any registration, reporting and filing they require. We do not deduct or withhold UK tax from Commission.
Commission is inclusive of any VAT. If you are registered for VAT and supply us with a valid VAT invoice for a Payout, the VAT shown on the invoice is paid in addition to the Commission. Send VAT invoices to support@partnerme.net, quoting your Code and the Payout statement reference.
Stripe may ask you for tax identification details as part of its own obligations. Payout statements in the Programme Dashboard show every Commission and fee and are available for your records. If a law requires us to report your Commission to a tax authority or to withhold any amount, we will comply and tell you.
10. Promotion rules and disclosure
You may promote PartnerMe AI and share your Code publicly, provided that you follow these rules wherever you promote:
- Truthful claims only. Describe PartnerMe AI accurately. Do not make claims about its features, prices, results, security or earnings that we do not make ourselves, and do not promise a Referred User anything the Programme does not deliver.
- Disclose the relationship.Wherever a law or advertising code requires it, make clear - prominently, and before the audience acts - that you may earn a commission from sign-ups through your Code. In the United Kingdom this is the CAP Code, enforced by the Advertising Standards Authority; for audiences in the United States it is the Federal Trade Commission's Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 CFR Part 255); equivalent rules apply elsewhere. A visible label such as "affiliate link" or "#ad" next to the Code or link meets this where the label is clear.
- No unsolicited electronic marketing. Do not send emails, text messages, direct messages or other electronic messages promoting PartnerMe AI to anyone who has not consented to receive them, and do not post your Code where it is not welcome. You must comply with the Privacy and Electronic Communications Regulations 2003 (PECR), the UK GDPR and the GDPR, the CAN-SPAM Act 2003 and any equivalent law.
- No bidding on our brand.Do not bid on "PartnerMe", "PartnerMe AI", our domain names or misspellings of them as keywords in paid search or paid social advertising, and do not use them in the display URL of an advertisement.
- No coupon or deal sites. Do not list your Code on coupon, voucher, deal or cashback sites or services without our prior written consent (an email from support@partnerme.net).
- Do not pose as us. Do not present yourself as PartnerMe AI, as an employee, agent or official partner of ours, or as speaking for us; do not register domain names, social handles or pages that imitate ours; and use our name and logo only as we provide them, without alteration.
- Adults only. The Service is for people aged 18 or over. Do not promote it to under-18s or in places directed at them.
- No incentivised or fake sign-ups. Do not pay or reward people for signing up, create accounts yourself, use bots or automated sign-ups, or refer people who act on your behalf. Section 5 prohibits self-referral.
- Respect the platforms. Follow the rules of every platform, forum or community where you post.
We may ask you to change or remove any promotional material that breaks these rules, and you must do so promptly. A breach of this section may lead to Commission being voided and to your affiliate account being closed under section 13.
11. Independent status
You take part in the Programme as an independent person or business. Nothing in these Programme Terms creates an employment, agency, partnership, joint-venture or franchise relationship between you and PartnerMe AI. You have no authority to make commitments, give warranties or accept obligations on our behalf, and you must not suggest otherwise.
The Programme is not exclusive. You may promote other products and services, and we may run other promotions and appoint other affiliates. You are under no obligation to promote PartnerMe AI, there is no minimum activity, and you bear your own costs. We grant you only a limited, revocable, non-transferable permission to use your Code, your referral link and any promotional material we supply, for the purpose of the Programme and in accordance with section 10; all rights in our name, logos and materials remain ours.
12. Data protection
Section 17 of our Privacy Policy is the full notice for the Programme. In summary:
- About you as an Affiliate we process your Code (and any retired Codes), the country you chose, your Stripe account identifier and the setup status Stripe reports, your Commission and Payout records, and Programme statistics (daily click counts, sign-ups and conversions). The lawful basis is the performance of this agreement with you.
- About Referred Users we process the Attribution (which Code, when, and whether it came from the link, the registration field or checkout) and the facts of the Qualifying Purchase needed to compute the Commission (plan, date and amount paid). The lawful basis is our legitimate interest in operating and auditing the Programme. Referred Users are told about this at sign-up and at checkout.
- What you can see. Your dashboard shows counts, the plan, the date and the amount of each conversion. It never shows the name, email address or any other personal data of a Referred User, and you must not attempt to identify Referred Users from Programme data or by combining it with other information.
- Stripe.Stripe processes your Payouts for us and is an independent controller of the identity, business and bank details it collects for its own know-your-customer, anti-money-laundering and tax obligations, under Stripe's own privacy policy. We never store your bank details.
- Retention.Commission and Payout records are financial records. We keep them for six years, as HM Revenue & Customs and the Companies Act 2006 require, in pseudonymised form after your account is deleted. Your Code, country, waitlist entry and affiliate account are deleted with your account.
- Your own promotion. Where you collect personal data to promote PartnerMe AI (for example a mailing list), you are the controller of that data and responsible for complying with data-protection law. Do not send us personal data of the people you promote to.
13. Suspension, termination and fraud
We may hold, void or reverse Commission, and suspend, restrict or close your affiliate account, where we reasonably believe that any of the following applies:
- fraud or attempted fraud of any kind;
- self-referral, or referrals of accounts you control or that act on your behalf;
- a payment-card fingerprint match under review - for example, the Referred User paid with a card that matches one used on your account or on another affiliate-related account;
- chargebacks, refunds or reversed payments on your referrals;
- a breach of section 10, of any other part of these Programme Terms, or of the Terms of Service;
- Stripe restricts, rejects or closes your payout account; or
- we are required to act by law, a court order or a regulator.
Where we hold or void Commission or restrict your account we tell you in the Programme Dashboard and by email, unless the law or the prevention of fraud prevents it, and you can respond through support@partnerme.net. When your affiliate account is closed your Code is retired and the Attributions linked to it stop earning.
Leaving the Programme and deleting your account. You may stop promoting at any time. If you delete your PartnerMe AI account, your affiliate account, Code and waitlist entry are deleted with it. Withdraw any available balance that is at or above the Minimum Payout before you delete your account: an unpaid balance below the Minimum Payout is forfeited when your account is deleted, and Commission that has not yet cleared cannot be paid after deletion because the payout destination is removed with the account.
If we close your affiliate account for fraud or for a serious breach of these Programme Terms, Commission that arose from the fraud or breach is void, and we may recover amounts already paid on it under section 7.
14. Changes to the programme
The Programme is a promotional scheme, and its commercial terms change over time. The discount and earnings percentages, the Attribution Window, the Hold Period, the Minimum Payout, the fee schedule and the list of supported countries are set by us and shown in the Programme Dashboard. A change to any of them applies only from the date it is shown there, and only to purchases or Payouts made after that date: a Commission always uses the rate in force at the time of the purchase, a Payout always uses the fee schedule in force when it is made, and neither is altered by a later change.
We may amend these Programme Terms. As with clause 18 of the Terms of Service, notice is proportionate to impact: (i) changes that materially reduce your rights under these Programme Terms are announced by email and in the Programme Dashboard at least thirty (30) calendar days before they take effect; (ii) other material changes are announced the same way at least fourteen (14) calendar days before they take effect; and (iii) non-material changes (clarifications, drafting corrections, changes that do not adversely affect you) take effect when posted, with the dates at the top of this page updated. Where a change is required by law or by a regulator, a shorter notice period may be unavoidable. Continuing to take part in the Programme after a change takes effect is acceptance of it; if you do not accept a change, withdraw your available balance and stop using your Code before the effective date.
We may suspend or end the Programme at any time on at least thirty (30) days' notice by email and in the Programme Dashboard. Commission earned before the end date is honoured: it completes its Hold Period and, once cleared, is paid to your payout destination in a final Payout.
15. Liability
The Programme, the Programme Dashboard and the tracking behind them are provided as they are. We do not guarantee any level of clicks, sign-ups, conversions or earnings, and we do not guarantee that every referral will be attributed: a referral is not tracked where the person does not use your Code or link, clears or blocks browser storage, registers on a different device without entering your Code, or already has an account. We are not liable for referrals that are not attributed for these or similar reasons. Save for manifest error, our records decide what was attributed and earned.
Subject to the carve-outs in the next paragraph: (i) we are not liable to you for any loss of profits, business, revenue, goodwill or opportunity, or for any indirect or consequential loss, whether arising in contract, tort (including negligence), under statute or otherwise; and (ii) our total liability to you under or in connection with these Programme Terms in any twelve-month period is limited to the greater of the Commission paid to you in the twelve months immediately preceding the event giving rise to the claim and one hundred pounds sterling (£100).
Nothing in these Programme Terms excludes or limits any liability that cannot be excluded or limited under the law that applies to you, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or under any mandatory consumer-protection law. Where you take part in the Programme as a consumer, your statutory rights are unaffected.
Where you take part in the Programme in the course of a trade, business, craft or profession, you agree to indemnify PartnerMe AI against any claim, loss, damage, cost or expense (including reasonable legal fees) arising from your promotional activity in breach of section 10, from any claim that your promotional material infringes a third party's rights, or from your breach of any law.
16. Governing law
These Programme Terms are governed by the laws of England and Wales. Subject to any mandatory consumer-protection right you may have in your country of residence, the courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with these Programme Terms or the Programme.
If a court of competent jurisdiction finds any provision of these Programme Terms to be invalid, illegal or unenforceable, the remaining provisions remain in full force and effect. These Programme Terms, the Terms of Service and the documents the Terms of Service incorporate form the entire agreement between you and PartnerMe AI in relation to the Programme.
